These terms govern the provision of all services by WSM Security Limited to clients ("you", "the Client").
WSM Security Limited provides the following services (collectively, "the Services"):
All services are carried out by SIA-licensed personnel. We reserve the right to sub-contract elements of a service to other SIA-licensed professionals where operationally necessary, maintaining full responsibility for quality and compliance.
Any quotation provided by WSM Security Limited is valid for 14 days from the date of issue, unless otherwise stated in writing. A binding contract is formed when:
Verbal agreements or informal communications do not constitute a binding contract. WSM reserves the right to decline any engagement at its discretion prior to written confirmation.
The Client agrees to:
Failure to meet these obligations may result in suspension or termination of services without liability to WSM.
Unless otherwise agreed in writing:
Late payments will incur interest at a rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. WSM also reserves the right to suspend services on accounts with outstanding overdue balances.
The following cancellation policy applies unless otherwise agreed in writing:
Significant changes to the scope, hours, or location of a confirmed booking (e.g. additional personnel, extended hours) must be agreed in writing and may be subject to additional charges. WSM will make reasonable efforts to accommodate changes but cannot guarantee availability at short notice.
WSM Security Limited reserves the right to withdraw personnel or terminate a booking with immediate effect, without refund obligation, in the following circumstances:
All WSM Security Limited personnel hold valid Security Industry Authority (SIA) licences appropriate to the role in which they are deployed. We maintain records of all licence expiry dates and ensure compliance at all times. Any changes to licence status that affect service delivery will be communicated to the Client promptly.
The Client must not knowingly request the deployment of unlicensed individuals in roles that require an SIA licence. WSM accepts no liability for any regulatory breach caused by Client instruction to deploy personnel outside their licensed scope.
WSM Security Limited carries comprehensive public liability insurance. Our liability to you in connection with any engagement is limited as follows:
Security services, by their nature, cannot guarantee the prevention of all incidents. WSM provides professional, trained personnel who act in accordance with their training, SIA licence conditions, and lawful instruction.
WSM Security Limited shall not be in breach of these terms, nor liable for any failure or delay in performing its obligations, where such failure or delay arises from circumstances beyond our reasonable control. This includes but is not limited to: acts of God, extreme weather events, pandemic or epidemic conditions, civil unrest, government action, transport disruption, or any other event that could not reasonably have been foreseen or prevented.
In such circumstances, WSM will notify the Client as soon as reasonably practicable and take reasonable steps to mitigate the impact.
Both parties agree to keep confidential any commercially sensitive information disclosed in connection with an engagement, including but not limited to: security plans, site layouts, client details, and staffing arrangements. This obligation survives the termination of any contract and continues for a period of 3 years thereafter, unless the information enters the public domain through no fault of either party.
Both WSM Security Limited and the Client agree to comply with all applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018. Where personal data is processed in connection with our services, we will do so in accordance with our Privacy Policy. If a separate data processing agreement is required, this must be agreed in writing prior to the commencement of services.
All materials produced by WSM Security Limited — including security plans, risk assessments, reports, and operational documents — remain the intellectual property of WSM unless expressly transferred in writing. The Client is granted a non-exclusive licence to use such materials solely for the purpose for which they were produced.
If you are dissatisfied with any aspect of our service, please contact us in the first instance at info@wsmsecurityltd.com. We will acknowledge your complaint within 2 business days and aim to resolve it within 14 business days. WSM is committed to fair and transparent resolution of any disputes.
WSM Security Limited reserves the right to update these Terms and Conditions at any time. The version in force at the time a contract is formed will govern that engagement. Any future changes will be published on our website. We recommend you review these terms periodically.
These Terms and Conditions, and any contract formed under them, are governed by the laws of England and Wales. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
